3. Eligibility

You may use the Service only if:

• You are at least eighteen (18) years of age, or the age of majority in your jurisdiction.
• You are legally capable of entering into binding contracts.
• Your use of the Service complies with all applicable laws and regulations.
• You are not prohibited from using the Service under applicable law.

The Service is intended for professional and commercial use by individuals and organizations involved in construction, engineering, facilities management, estimating, property management, maintenance, and related industries.

4. Changes to These Terms

We may revise these Terms from time to time to reflect:

• Changes in applicable law;
• New features or services;
• Improvements to the Service;
• Business or operational changes; or
• Security requirements.

When material changes are made, we will update the "Last Updated" date at the beginning of these Terms.

Where required by law, we may provide notice by email, in-application notification, website announcement, or other reasonable means.

Your continued use of the Service after revised Terms become effective constitutes your acceptance of the updated Terms. If you do not agree with revised Terms, you must discontinue use of the Service before the revised Terms become effective.

5. Definitions

For purposes of these Terms:

• Account means the registered user account created to access the Service.
• Customer Data means all information uploaded, entered, created, generated, synchronized, or stored by users within the Service, including project information, reports, photographs, notes, equipment information, checklists, and related documentation.
• Content means any text, images, photographs, reports, graphics, software, documentation, or other materials available through the Service.
• Subscription means a paid plan that grants access to premium features of the Service.
• User means any individual accessing or using the Service.
• Organization means a company, contractor, engineering firm, property management company, governmental entity, or other legal entity using the Service.

6. Description of the Service

Job Walk Pro is a cloud-based software platform designed to assist professionals with:

• Site surveys
• Equipment inventories
• Job walks
• Mechanical, electrical, and plumbing documentation
• Facility assessments
• Equipment inspections
• Digital project organization
• Report generation
• Optional AI-assisted information extraction
• Related professional workflows

The Service is intended to improve efficiency and organization but does not replace professional judgment, engineering review, code compliance, regulatory inspections, or independent verification of project information. Users remain solely responsible for reviewing all information generated by the Service before relying upon it for business, engineering, construction, maintenance, or regulatory purposes.

7. Account Registration

To access certain features of the Service, users must create an account. You agree to:

• Provide accurate and complete registration information.
• Keep your information current.
• Maintain the confidentiality of your login credentials.
• Promptly notify Job Walk Pro of any unauthorized use of your account.
• Accept responsibility for activity occurring under your account unless resulting from a security failure attributable to Job Walk Pro.

We reserve the right to suspend or terminate accounts containing false, misleading, or fraudulent registration information.

8. User Responsibilities

You agree to use the Service responsibly and in accordance with these Terms. You are responsible for:

• Maintaining the security of your account.
• Protecting your passwords and authentication credentials.
• Ensuring the accuracy of information entered into the Service.
• Obtaining any permissions necessary to photograph buildings, equipment, or facilities.
• Maintaining appropriate backups of important business information.
• Reviewing AI-assisted extraction results before relying upon them.
• Complying with all applicable laws, regulations, contracts, and workplace policies.

Job Walk Pro is a professional productivity tool and should not be relied upon as the sole source of information for engineering decisions, safety determinations, regulatory compliance, or construction activities.

9. Acceptable Use Policy

Job Walk Pro is intended for lawful, professional, and responsible use. By using the Service, you agree to use it in a manner consistent with these Terms, applicable laws, and generally accepted standards of professional conduct. You agree that you will not misuse the Service or permit others to misuse the Service through your account.

9.1. Lawful Use

You agree to use the Service only for lawful purposes. You shall not use Job Walk Pro in any manner that:

• Violates any applicable law, regulation, ordinance, or governmental order.
• Infringes the rights of another person or organization.
• Facilitates illegal activities.
• Interferes with the operation or security of the Service.

9.2. Account Security

You agree not to:

• Share your login credentials with unauthorized individuals.
• Allow unauthorized persons to access your account.
• Attempt to gain access to another user's account.
• Circumvent authentication or security controls.
• Use another person's credentials without authorization.
• Misrepresent your identity.

Each subscription is licensed for use in accordance with the subscription purchased.

9.3. Unauthorized Access

You may not attempt to:

• Access systems or data that are not intended for your use.
• Probe, scan, or test the vulnerability of our systems without prior written authorization.
• Circumvent access restrictions.
• Interfere with authentication mechanisms.
• Exploit software vulnerabilities.
• Access administrative functions not intended for customers.

Any unauthorized attempt to access protected systems may result in immediate suspension or termination of your account and may be reported to the appropriate authorities.

9.4. Reverse Engineering

Except to the extent prohibited by applicable law, you agree not to:

• Reverse engineer the Service.
• Decompile the software.
• Disassemble the software.
• Attempt to discover source code.
• Modify the software.
• Create derivative works.
• Remove copyright notices or proprietary markings.
• Attempt to duplicate or recreate proprietary functionality.

9.5. Automated Access

You may not use bots, crawlers, scrapers, automated scripts, data mining tools, artificial traffic generators, automated account creation tools, or other automated means to access or interact with the Service without our prior written permission.

Reasonable use of publicly documented APIs, if made available in the future, shall be governed by the applicable API documentation and license terms.

9.6. Interference with the Service

You agree not to:

• Introduce malware.
• Upload viruses.
• Distribute ransomware.
• Launch denial-of-service attacks.
• Interfere with network operations.
• Consume excessive computing resources in a manner that negatively impacts other users.
• Disrupt Service availability.
• Attempt to overload our infrastructure.

9.7. Misuse of AI Features

Where AI-assisted features are available, you agree not to:

• Use AI features for unlawful purposes.
• Submit content you do not have the right to process.
• Attempt to manipulate AI systems through malicious prompts or inputs.
• Use AI-generated information without appropriate professional review.
• Represent AI-generated information as guaranteed to be accurate.

AI-assisted features are intended solely as productivity tools and should not replace professional judgment.

9.8. Prohibited Content

You agree not to upload, transmit, or store content that:

• Is unlawful.
• Is fraudulent.
• Is defamatory.
• Is threatening.
• Is abusive or harassing.
• Infringes intellectual property rights.
• Contains malicious software.
• Violates another person's privacy rights.
• Contains obscene or illegal material.
• Promotes criminal activity.

Job Walk Pro reserves the right to remove content that violates these Terms where legally permitted and operationally necessary.

9.9. Intellectual Property Violations

You shall not use the Service to:

• Upload copyrighted material without authorization.
• Misappropriate trade secrets.
• Violate patent rights.
• Infringe trademarks.
• Violate contractual confidentiality obligations.

You remain solely responsible for the content you upload.

9.10. Resource Usage

Because Job Walk Pro is a shared cloud platform, you agree not to intentionally consume excessive resources that negatively impact the availability or performance of the Service for other users. Examples include:

• Excessive automated uploads.
• Artificially generated workloads.
• Abusive synchronization activity.
• Intentional storage abuse.
• Excessive API requests (where APIs are available).

We may implement reasonable technical measures to protect the stability of the Service.

9.11. No Resale or Unauthorized Commercial Exploitation

Unless expressly authorized in writing by MEP Academy LLC, you may not:

• Resell the Service.
• Rent access to the Service.
• Lease the Service.
• Sublicense the Service.
• Operate a service bureau using the Service.
• Provide commercial hosting of the Service.
• Redistribute proprietary reports, software components, or documentation as your own product.

Nothing in this section prevents you from using reports, documentation, or work product generated through your legitimate use of Job Walk Pro in the ordinary course of your business.

9.12. Compliance with Customer Policies

If you use Job Walk Pro on behalf of an employer or client, you are responsible for complying with workplace policies, confidentiality agreements, site security requirements, customer contractual obligations, applicable safety regulations, and industry-specific requirements.

Job Walk Pro is not responsible for ensuring compliance with customer-specific contractual requirements.

9.13. Monitoring and Enforcement

To protect the integrity and security of the Service, Job Walk Pro may monitor system activity for purposes including detecting security incidents, preventing fraud, investigating abuse, maintaining Service reliability, enforcing these Terms, and protecting users and infrastructure.

Monitoring is conducted in accordance with our Privacy Policy and applicable law.

9.14. Suspension or Termination for Violations

We reserve the right to suspend, restrict, or terminate access to the Service, with or without prior notice where permitted by law, if we reasonably determine that a user has:

• Violated these Terms.
• Engaged in fraudulent activity.
• Compromised the security of the Service.
• Used the Service unlawfully.
• Attempted unauthorized access.
• Abused system resources.
• Failed to pay applicable subscription fees.
• Otherwise engaged in conduct that materially harms Job Walk Pro, its users, or its business operations.

Where appropriate and practicable, we may provide an opportunity to cure certain violations before terminating an account. However, we reserve the right to take immediate action when necessary to protect the security, availability, or integrity of the Service.

9.15. Reporting Violations

Users who become aware of misuse of the Service or suspected security vulnerabilities are encouraged to notify Job Walk Pro promptly through our Support page or by contacting support@jobwalk.pro.

We appreciate responsible disclosure of potential security issues. Unauthorized security testing or exploitation of vulnerabilities without prior written authorization is prohibited.

10. Subscription Plans, Billing, Renewals, Customer Data, and Intellectual Property

10.1. Subscription Plans

Job Walk Pro is offered as a subscription-based Software-as-a-Service (SaaS) platform. Access to certain features requires the purchase of an active subscription.

Subscription plans, pricing, included features, usage limits, and billing intervals are described on the Job Walk Pro website and may be updated from time to time. The features available under a particular subscription are those identified at the time of purchase unless otherwise stated.

10.2. Subscription Term

Your subscription begins when payment has been successfully processed and continues for the billing period selected during purchase. Unless canceled in accordance with these Terms, subscriptions automatically renew at the end of each billing period.

10.3. Automatic Renewal

To provide uninterrupted service, subscriptions automatically renew unless canceled before the next billing date. By purchasing a subscription, you authorize Job Walk Pro and its payment processor to charge the applicable subscription fees using your selected payment method until your subscription is canceled. Renewal charges will generally occur on or near the applicable renewal date.

10.4. Subscription Fees

You agree to pay all applicable subscription fees, taxes (where required), government-imposed charges, and other amounts associated with your selected subscription.

All prices are displayed in U.S. Dollars unless otherwise indicated. Applicable taxes may vary based upon your location.

10.5. Price Changes

Job Walk Pro reserves the right to modify subscription pricing. If subscription pricing changes:

• Existing subscribers will receive reasonable advance notice where required by law.
• Price changes will generally apply at the next renewal period.
• Continued use of the Service after the effective date constitutes acceptance of the revised pricing.

Nothing in this section limits any pricing protections required under applicable consumer protection laws.

10.6. Failed Payments

If payment cannot be successfully processed, Job Walk Pro may retry the payment, notify you of the failed payment, temporarily suspend subscription features, restrict access to paid functionality, or terminate the subscription if payment remains outstanding.

Access to project information may be limited while an account is suspended for non-payment.

10.7. Cancellation

You may cancel your subscription at any time through your account settings or by contacting Job Walk Pro Support. Unless otherwise required by law:

• Cancellation prevents future renewal charges.
• Cancellation does not automatically generate a refund for amounts already paid.
• Access to paid features generally continues through the end of the current billing period.

After the subscription expires, access to premium features may be suspended until the subscription is renewed.

Canceling a subscription is distinct from deleting your account. To permanently delete your account and associated data, use the in-app Delete Account option or visit jobwalk.pro/delete-account. Deleting your account cancels any associated subscription and does not automatically produce a refund. See the Privacy Policy for what is deleted and what may be retained.

10.8. Refund Policy

Except where required by applicable law, subscription fees are non-refundable. Refunds may be issued at the sole discretion of Job Walk Pro in circumstances such as:

• Duplicate billing.
• Billing errors.
• Technical issues preventing reasonable access to the Service that cannot be resolved within a reasonable period.
• Other exceptional circumstances determined by Job Walk Pro.

Nothing in this section limits any non-waivable refund rights provided under applicable law.

10.9. Free Trials and Promotional Offers

From time to time, Job Walk Pro may offer free trials, promotional pricing, introductory offers, or limited-time discounts. Such offers are subject to additional terms disclosed at the time of the promotion.

Unless otherwise stated, Job Walk Pro reserves the right to modify or discontinue promotional offers at any time.

10.10. Customer Data Ownership

As between Job Walk Pro and the Customer, you retain ownership of all Customer Data that you create, upload, or store using the Service. Customer Data includes, but is not limited to:

• Project information.
• Equipment inventories.
• Photographs.
• Reports.
• Notes.
• Checklists.
• Observations.
• User-generated documentation.
• Other information entered by the Customer.

Job Walk Pro does not claim ownership of Customer Data.

10.11. License Granted to Job Walk Pro

To operate the Service, you grant Job Walk Pro a limited, worldwide, non-exclusive, royalty-free license to:

• Store Customer Data.
• Host Customer Data.
• Process Customer Data.
• Synchronize Customer Data.
• Back up Customer Data.
• Generate reports.
• Perform AI-assisted processing where requested by the user.
• Provide customer support.
• Maintain, improve, and secure the Service.

This license exists solely for the purpose of operating and improving Job Walk Pro and terminates with respect to Customer Data upon deletion of such data, subject to applicable backup retention periods and legal obligations.

10.12. Job Walk Pro Intellectual Property

Job Walk Pro and all related software, source code, object code, databases, algorithms, user interfaces, designs, graphics, documentation, trademarks, service marks, logos, workflows, and proprietary technology are and shall remain the exclusive property of MEP Academy LLC and its licensors. Nothing in these Terms transfers ownership of the Service or any intellectual property rights to the Customer.

10.13. Limited License to Use the Service

Subject to these Terms and payment of applicable subscription fees, Job Walk Pro grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes. This license does not permit you to:

• Copy the software.
• Redistribute the software.
• Sell the software.
• Modify proprietary components.
• Reverse engineer the software except where prohibited by law.
• Remove copyright notices.
• Create competing services using proprietary portions of the Service.

10.14. Feedback

If you voluntarily submit suggestions, ideas, enhancement requests, feature requests, or other feedback regarding the Service, you grant Job Walk Pro a perpetual, worldwide, irrevocable, royalty-free license to use, modify, implement, publish, and incorporate such feedback without compensation or obligation to you. You are not required to submit feedback, and Job Walk Pro is under no obligation to implement any suggestions.

10.15. Usage Data

Job Walk Pro may collect and use aggregated, anonymized, or de-identified usage information for purposes including improving software performance, developing new features, understanding product usage trends, capacity planning, security monitoring, and quality assurance. Such information will not be used to identify individual customers.

10.16. Reservation of Rights

Except for the limited license expressly granted in these Terms, all rights not expressly granted are reserved by MEP Academy LLC. No implied licenses are granted under these Terms.

11. Disclaimers, Limitation of Liability, Indemnification, Termination, Dispute Resolution, and Miscellaneous

11.1. Service Availability

Job Walk Pro strives to provide a reliable, secure, and continuously available Service. However, the Service may occasionally be unavailable due to scheduled maintenance, emergency maintenance, software updates, Internet outages, cloud infrastructure failures, third-party service interruptions, or events beyond our reasonable control.

We do not guarantee uninterrupted or error-free operation of the Service.

11.2. No Professional Advice

Job Walk Pro is a software productivity tool. The Service does not provide engineering advice, architectural advice, legal advice, regulatory compliance advice, code interpretations, safety certifications, professional inspections, or construction supervision.

Information generated by the Service should not be considered a substitute for the independent judgment of qualified professionals. Users remain solely responsible for verifying all project information before relying upon it for construction, engineering, maintenance, purchasing, permitting, code compliance, or business decisions.

11.3. AI-Assisted Features

Where AI-assisted features are available, they are provided solely as productivity tools. AI-generated results may be incomplete, may contain errors, may misidentify equipment, may omit important information, and should always be independently reviewed by the user.

Job Walk Pro makes no representation or warranty regarding the accuracy, completeness, or suitability of AI-generated information.

11.4. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MEP Academy LLC DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION:

• MERCHANTABILITY.
• FITNESS FOR A PARTICULAR PURPOSE.
• NON-INFRINGEMENT.
• QUIET ENJOYMENT.
• TITLE.
• ACCURACY.
• RELIABILITY.
• AVAILABILITY.
• SECURITY.
• ERROR-FREE OPERATION.

We do not warrant that the Service will always be available, will meet every customer’s requirements, that errors will be corrected immediately, that reports will be free of inaccuracies, that AI-generated information will be correct, or that third-party services will remain continuously available.

Some jurisdictions do not permit certain warranty disclaimers. In those jurisdictions, the above limitations apply only to the maximum extent permitted by law.

11.5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEP Academy LLC, ITS OWNERS, MEMBERS, EMPLOYEES, OFFICERS, DIRECTORS, AFFILIATES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, PUNITIVE DAMAGES, LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOST GOODWILL, LOST DATA, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES.

This limitation applies regardless of the legal theory asserted, including contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.

11.6. Maximum Liability

To the fullest extent permitted by law, the total cumulative liability of MEP Academy LLC arising out of or relating to the Service shall not exceed the total subscription fees actually paid by the Customer to Job Walk Pro during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit limitations on certain liabilities. In such jurisdictions, this limitation shall apply only to the maximum extent permitted by applicable law.

11.7. Customer Indemnification

You agree to defend, indemnify, and hold harmless MEP Academy LLC, its owners, officers, employees, contractors, licensors, affiliates, and service providers from and against any claims, damages, liabilities, losses, judgments, settlements, costs, or expenses (including reasonable attorneys’ fees) arising from or relating to:

• Your use of the Service.
• Your violation of these Terms.
• Your Customer Data.
• Your violation of applicable law.
• Your infringement of intellectual property rights.
• Your misuse of AI-assisted features.
• Your negligence or misconduct.

This obligation survives termination of these Terms.

11.8. Force Majeure

Job Walk Pro shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, fire, flood, earthquake, pandemic, war, terrorism, labor disputes, government actions, utility failures, Internet outages, cloud infrastructure failures, cybersecurity incidents beyond our reasonable control, or acts of third-party providers. Performance shall be excused for the duration of such event.

11.9. Suspension and Termination

We reserve the right to suspend or terminate access to the Service if:

• Subscription fees remain unpaid.
• These Terms are violated.
• Fraudulent activity is suspected.
• Security risks are identified.
• Required by law.
• Necessary to protect the Service or other users.

Where practical, we will attempt to provide reasonable notice before terminating an account, except where immediate action is necessary to protect the Service or comply with legal obligations. Termination does not relieve either party of obligations that accrued before termination.

11.10. Effect of Termination

Upon termination:

• Your right to access the Service ends.
• Subscription renewals cease if canceled.
• Customer Data will be handled in accordance with our Privacy Policy and data retention practices.
• Certain provisions of these Terms survive termination, including those relating to intellectual property, indemnification, disclaimers, limitation of liability, payment obligations, dispute resolution, and governing law.

11.11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law principles. Nothing in this section limits mandatory consumer protection rights that cannot be waived under applicable law.

11.12. Dispute Resolution

Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve disputes through informal discussions. If a dispute cannot be resolved informally, either party may pursue any remedies available under applicable law.

Nothing in this section prevents either party from seeking temporary injunctive or equitable relief where necessary to protect intellectual property, confidential information, or other legal rights.

11.13. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of MEP Academy LLC. MEP Academy LLC may assign these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or similar business transaction.

11.14. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

11.15. Waiver

Failure by Job Walk Pro to enforce any provision of these Terms shall not constitute a waiver of any right or provision. Any waiver must be in writing and signed by an authorized representative of MEP Academy LLC.

11.16. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and MEP Academy LLC regarding the Service and supersede all prior agreements, understandings, or representations relating to the Service.
